These Terms & Conditions (“Terms”) apply to your use of our website and services (together, the “Platform”).
2. Acceptance of these Terms
By using the Platform (including browsing Listings or creating an account), you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Platform.

3. Marketplace intermediary status
BusinessSales is an intermediary platform only:
- We do not own, sell, buy, broker, negotiate, or complete transactions for any Listing.
- We do not act as agent for buyers or sellers.
- Any transaction is strictly between the buyer and the seller (or their representatives).
- We do not provide legal, tax, financial, or investment advice.
4. Accounts, access and security
Some features require an account. You agree to:
- Provide accurate, current information and keep it updated.
- Maintain the confidentiality of your login credentials.
- Notify us promptly if you suspect unauthorised access.
You are responsible for all activity that occurs under your account. We may restrict access if we reasonably believe your account is being misused or your activity breaches these Terms.
5. Listings, user content and prohibited use
Listings may be submitted by third parties (including business owners, agents, and publishers) and may also be sourced from third-party websites. You understand that:
- Listing information is provided by the seller or a third party and may not be verified by BusinessSales.
- Listing availability, pricing, and details may change at any time.
Prohibited use. You must not:
- Post misleading, deceptive, unlawful, or infringing content.
- Upload malware, attempt unauthorised access, or interfere with the Platform’s operation.
- Scrape, harvest, or systematically collect data from the Platform without written permission.
- Use the Platform to spam, send unsolicited marketing, or collect emails for outreach without consent.
- Impersonate any person or misrepresent your affiliation.
6. No warranty / accuracy of information
The Platform and Listings are provided on an “as is” and “as available” basis. We do not guarantee that:
- Listings are accurate, complete, current, or suitable for your purposes.
- Any Listing will result in a successful sale or lead.
- The Platform will be uninterrupted, error-free, or free of defects.
You are responsible for conducting your own due diligence, including verifying financials, licences, contracts, compliance, and legal status. You should obtain independent professional advice where appropriate.
7. Enquiries and communications
When you submit an enquiry, it may be sent to the seller, their representative, or the contact address shown on the Listing. We may process and route enquiry messages to support Platform operation and abuse prevention.
We do not guarantee a response to enquiries and are not responsible for communications, negotiations, or outcomes between users.
8. Adverts, sponsorship and featured upgrades
The Platform may offer optional promotional features (for example “advert”, “sponsored”, or “featured” placements) to increase a Listing’s visibility. Where available:
- Promotional features affect placement and visibility only and do not guarantee results.
- We may change placement logic and presentation for performance, fairness, and anti-abuse reasons.
- We may remove or adjust promotions if a Listing breaches these Terms or is suspected to be fraudulent or misleading.
If pricing or payment features are introduced, additional terms may apply at the time of purchase.
9. Intellectual property
The Platform, design, branding, and underlying code are owned by or licensed to BusinessSales and are protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Platform without our prior written permission.
You retain ownership of content you submit (such as text and images) but grant us a worldwide, royalty-free licence to host, display, reproduce, and distribute that content as necessary to operate and promote the Platform (including showing it in search results and marketing materials).
10. Liability limitation
Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law.
To the maximum extent permitted by law, BusinessSales will not be liable for any loss or damage arising from or related to:
- Reliance on Listing information (including inaccuracies, omissions, or outdated details).
- Any transaction, negotiation, or dispute between buyers and sellers.
- Loss of profits, revenue, business, goodwill, data, or indirect or consequential losses.
- Service interruption, delays, bugs, security incidents, or unauthorised access beyond our reasonable control.
If we are found liable to you for any reason, our total liability will be limited to the amount you paid to us (if any) for the relevant service in the 3 months immediately before the event giving rise to the claim.
11. Suspension, removal and termination
We may suspend or terminate access to the Platform (and/or remove or limit visibility of any Listing) if we reasonably believe that:
- You have breached these Terms or applicable law.
- Your Listing is fraudulent, misleading, infringing, or harmful to users.
- Your activity creates security, operational, or reputational risk.
We may take these actions with or without notice where necessary to protect users or the Platform.
12. Governing law and jurisdiction
These Terms are governed by the laws of England and Wales. The courts of England and Wales will have exclusive jurisdiction over any disputes arising out of or in connection with these Terms or your use of the Platform.
